These Terms of Use ("Terms") govern your access to and use of the SMECentral website and software platform operated by Power Digital Solutions Australia ("we", "us", or "our"). By accessing our website or purchasing or installing SMECentral, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our website or purchase our software.

1. About SMECentral

SMECentral is a one-time-purchase business management platform designed for Australian small businesses. It includes modules for sales and invoicing, expense tracking, profit & loss reporting, HR and payroll (STP Phase 2 compliant), rostering, POS integration, and optional AI add-ons.

SMECentral is sold as a perpetual software licence — you pay once and own the software. There are no mandatory ongoing subscription fees for the core platform.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or your business to use SMECentral. By purchasing or using our software you represent that you meet these requirements.

3. Licence Grant

Upon successful payment, Power Digital Solutions Australia grants you a non-exclusive, non-transferable, perpetual licence to install and use SMECentral for your own internal business purposes.

You may install SMECentral on hardware owned or controlled by your business.

You may use SMECentral to manage your own business operations.

You may not sublicense, resell, rent, or otherwise distribute SMECentral or any derived version of it to third parties.

You may not reverse-engineer, decompile, or disassemble the software except to the extent permitted by applicable law.

You may not use SMECentral to provide bureau or managed services to third-party businesses without a separate written agreement with us.

4. Acceptable Use

When using our website or software, you agree not to:

  • Upload or transmit any content that is unlawful, fraudulent, defamatory, or harmful
  • Attempt to gain unauthorised access to our systems or other users' data
  • Use the software to facilitate tax fraud, payroll fraud, or any other illegal activity
  • Introduce viruses, trojans, or other malicious code
  • Use automated tools to scrape or extract data from our website without our consent

We reserve the right to terminate your licence if you breach these acceptable use requirements.

5. Payment & Refunds

5.1 Pricing

All prices are quoted in Australian Dollars (AUD) and include GST where applicable. The current purchase price is displayed on our Pricing page and is subject to change without notice prior to purchase.

5.2 Refund Policy

We offer a 14-day satisfaction guarantee from the date of purchase. If SMECentral does not meet your needs and you have not used it in a live business environment, contact us within 14 days for a full refund. After 14 days or once the software has been used with live business data, refunds are at our discretion.

5.3 Australian Consumer Law

Nothing in these Terms limits your rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). You may be entitled to a remedy if the software has a major or minor fault.

6. Intellectual Property

All intellectual property rights in SMECentral — including source code, design, trademarks, logos, and documentation — remain the exclusive property of Power Digital Solutions Australia. Your purchase grants a licence to use the software; it does not transfer any ownership of intellectual property.

The SMECentral name and logo are trademarks of Power Digital Solutions Australia. You may not use them without our prior written consent.

7. Updates & Support

Your one-time purchase includes free minor updates and bug fixes for 12 months from the date of purchase. Major version upgrades may be offered at a discounted price.

We provide best-effort email support in English and Vietnamese during Australian business hours (Monday–Friday, 9 am–5 pm AEST). Support is provided for the current and immediately prior major version of SMECentral.

We do not guarantee any specific response time but aim to respond to all support requests within 2 business days.

8. ATO Compliance Disclaimer

SMECentral includes features designed to assist with Australian Taxation Office (ATO) reporting obligations such as Single Touch Payroll (STP) Phase 2. However, we do not provide tax, legal, or financial advice.

You remain solely responsible for the accuracy of your tax lodgements and payroll calculations. We strongly recommend working with a registered accountant or BAS agent to review your compliance obligations. Power Digital Solutions Australia is not liable for any penalties, fines, or adjustments arising from errors in your tax or payroll data.

9. Limitation of Liability

To the maximum extent permitted by law, Power Digital Solutions Australia's total liability to you in connection with SMECentral shall not exceed the purchase price you paid for the software.

We are not liable for any indirect, special, incidental, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in this clause limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under Australian Consumer Law.

10. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using our website or software, you consent to the practices described in our Privacy Policy.

11. Third-Party Integrations

SMECentral integrates with third-party services including payment processors (Zeller, Stripe, Square) and the ATO STP gateway. Your use of these integrations is also governed by the third party's own terms and privacy policies.

We are not responsible for the availability, accuracy, or conduct of any third-party service.

12. Termination

We reserve the right to revoke your licence immediately and without refund if you materially breach these Terms, including but not limited to breaches of the acceptable use policy or the licence grant restrictions. Upon termination, you must cease all use of the software and delete all copies in your possession.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales, without prejudice to your rights under applicable consumer protection laws.

14. Changes to These Terms

We may update these Terms from time to time. The effective date will be updated at the top of this page. Your continued use of our website or software after changes are posted constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
